1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Steady.ng website, mobile-optimised web application, tools, and related services (collectively, the "Platform") operated by Steady Technologies Limited ("Steady", "we", "us").

By accessing the Platform — whether by browsing, registering an account, or using any feature — you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use immediately.

These Terms constitute a legally binding agreement under the laws of the Federal Republic of Nigeria.

2. Platform Overview

Steady.ng is a neutral information and marketplace platform. We provide:

• A directory and comparison marketplace for power and energy products and vendors in Nigeria
• Free energy calculation tools and decision aids
• A cooking gas and service locator based on community-reported data
• Community-powered fuel price tracking
• Electricity token vending (via third-party payment processors)
• Fuel delivery booking (via third-party service providers)
• Educational content, guides, and articles

Steady.ng is not a retailer, seller, or supplier. We do not stock, ship, or manufacture any product. All product transactions occur directly between you and the respective vendor. Steady is not a party to any purchase agreement between users and vendors.

3. User Accounts

3.1 Eligibility

You must be at least 18 years old to register an account. By creating an account, you represent that you meet this requirement and that the information you provide is accurate, current, and complete.

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately at hello@steady.ng if you suspect unauthorised access
• Ensuring that any information stored in your account is accurate

3.3 Account Termination

You may close your account at any time by contacting us. We may suspend or terminate your account without notice if you breach these Terms, engage in prohibited conduct, or if we are required to do so by law.

4. Vendor Listings and Marketplace

4.1 Information Accuracy

Product listings, prices, and availability on Steady.ng are provided by vendors. Steady does not guarantee the accuracy, completeness, or currency of vendor-supplied information, including prices, stock availability, product specifications, or delivery timelines.

4.2 Vendor Verification

While we conduct a verification process for vendors before approving listings, this verification is not an endorsement of product quality, authenticity, or business conduct. Displaying a "Verified" badge indicates that the vendor passed our basic eligibility checks at the time of verification — it does not constitute a warranty.

4.3 Transactions

All transactions for marketplace products are conducted directly between you and the vendor, via the vendor's own sales channels (typically WhatsApp, phone, or direct purchase). Steady is not a party to these transactions. Any disputes arising from a purchase must be resolved directly with the vendor.

4.4 Reviews

User reviews submitted on the Platform must reflect genuine first-hand experiences. Reviews must not be defamatory, false, or submitted in exchange for compensation. We reserve the right to remove reviews that violate these guidelines.

5. Purchases and Payments on Steady

Certain transactions processed directly through Steady — including electricity token purchases and fuel delivery bookings — are governed by additional terms provided at the point of purchase. These transactions are processed via third-party payment providers (BuyPower, Flutterwave). Steady is not a financial institution and does not hold your funds.

Refund and error resolution policies for electricity tokens and delivery bookings are set out on their respective service pages and are subject to the third-party processor's terms.

6. Intellectual Property

All content on Steady.ng — including articles, calculators, UI designs, tool outputs, data compilations, logos, and trademarks — is owned by or licensed to Steady Technologies Limited and protected under Nigerian and international intellectual property law.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes. This licence does not permit you to:

• Copy, reproduce, or republish our content without attribution and prior written consent
• Create derivative works based on our tools or databases
• Sell or sublicense access to any Platform feature

7. Prohibited Conduct

By using the Platform, you agree not to:

• Scrape or harvest data using automated tools, bots, or spiders without express written permission
• Submit false information, including fake fuel prices, fraudulent vendor reviews, or fabricated business credentials
• Solicit or submit fake reviews — whether positive or negative — in exchange for any form of compensation
• Impersonate another user, vendor, or Steady staff member
• Upload harmful code including viruses, malware, or scripts designed to disrupt the Platform
• Engage in fraud, including but not limited to chargeback fraud on electricity token purchases
• Violate applicable Nigerian law, including the Cybercrimes (Prohibition, Prevention, etc.) Act 2015
• Abuse the contact or reporting systems by submitting malicious, harassing, or vexatious reports

8. Third-Party Links and Services

The Platform may contain links to third-party websites, WhatsApp contacts, social media profiles, and external services. These links are provided for convenience only. Steady is not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk and subject to their respective terms.

9. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Platform will be available continuously, error-free, or free from viruses. Tool outputs and calculator results are estimates based on user-supplied inputs and publicly available data — they do not constitute professional engineering, financial, or legal advice. Always verify energy system specifications with a qualified engineer before purchase or installation.

Community-reported data (fuel prices, gas prices) may be inaccurate. Always verify prices directly with the supplier.

10. Limitation of Liability

To the maximum extent permitted by Nigerian law, Steady Technologies Limited, its officers, directors, employees, and agents shall not be liable for:

• Any loss arising from your reliance on vendor-supplied information or platform tool outputs
• Disputes between you and a vendor arising from a marketplace transaction
• Indirect, incidental, consequential, special, or punitive damages
• Loss of profits, data, or business arising from Platform downtime

Where liability cannot be excluded by law, our total liability to you shall not exceed the amount you paid to Steady in the 12 months preceding the claim, or ₦50,000 — whichever is lower.

11. Indemnification

You agree to indemnify, defend, and hold harmless Steady Technologies Limited and its affiliates from any claim, loss, liability, cost, or expense (including reasonable legal fees) arising from: your use of the Platform in violation of these Terms; your submissions (reviews, price reports, vendor applications); or your infringement of any third-party right.

12. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

We encourage you to contact us at legal@steady.ng before initiating legal proceedings. Most concerns can be resolved efficiently through direct communication.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email (for registered users) or a Platform notice at least 14 days before the new terms take effect. Your continued use after the effective date constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.
